1. Acceptance of Terms

By creating an account, submitting an “Advert Request,” or otherwise using the Listings by Agentic Vibe platform (the “Service”) provided by Agentic Vibe Ltd (“Agentic Vibe,” “we,” “our,” or “the Company”), you (“Client” or “User”) agree to be bound by these Terms and Conditions and our accompanying Privacy Policy. If you do not agree to these Terms, discontinue use of the Service immediately.

2. Description of the Service

Listings by Agentic Vibe is an AI-powered creative automation platform that enables Clients to:

• Input text prompts, creative briefs, and advertising copy.
• Upload digital assets (logos, videos, brand images, or listings).
• Receive AI-generated advertising visuals, listing descriptions, and media (“the Works”).

3. Data Protection and Compliance

Agentic Vibe complies with the Kenyan Data Protection Act (2019), EU GDPR, U.S. CCPA, and other international privacy regulations.

3.1 Roles in Data Processing

• Agentic Vibe Ltd acts as Data Controller for account and operational data.
• Agentic Vibe Ltd acts as Data Processor for Client-provided creative materials and inputs.

3.2 Lawful Basis

Processing of data is based on Contractual Necessity (to deliver the Works) and Legitimate Interest (to ensure platform security and performance).

3.3 Client Responsibilities

The Client warrants that:

1. All submitted materials are lawful and necessary for the intended creative purpose.
2. They possess all required rights, consents, and permissions for data and assets submitted.
3. Their submissions comply with applicable laws (privacy, copyright, and advertising).

Agentic Vibe is not liable for any violations arising from Client submissions.

3.4 Data Security and AI Processing

• Security: Encryption and access control protect all client data.
• No AI Model Training: Submitted content is never used to train or fine-tune AI systems.
• Retention: Data is retained for 90 days after delivery, then securely deleted unless the Client requests extended storage.

4. Intellectual Property and Licensing

4.1 Ownership of Input

The Client retains full ownership of all materials uploaded or entered into the platform. The Client grants Agentic Vibe a limited, non-exclusive, temporary license to use those materials solely for Service fulfillment.

4.2 Ownership of Output

Upon payment and delivery, all rights in the generated Works are transferred to the Client. The Client receives a perpetual, worldwide, royalty-free license to use, reproduce, and distribute the Works for commercial or personal purposes.

4.3 AI Output Disclaimer

All Works are AI-generated. Agentic Vibe:

• Does not guarantee factual or legal compliance with all global advertising standards.
• Is not responsible for errors, inaccuracies, or biases in AI-generated content.

Clients must perform due diligence before publishing the Works publicly.

5. Prohibited Use

Clients shall not use the Service to create or distribute:

• Unlawful, defamatory, or misleading content.
• Non-consensual depictions or impersonations of individuals.
• Hate speech, misinformation, or violent material.

Violation may result in immediate termination of access.

6. Payment and Refund Policy

All payments must be completed before delivery of the final Works. Because each Work is custom-generated, no refunds are available once production begins, except for:

• Proven service error caused by Agentic Vibe.
• Unauthorized charges or billing disputes.

7. Termination and Suspension

Agentic Vibe may suspend or terminate access if:

• A Client breaches these Terms.
• Fraudulent or harmful use is detected.

Upon termination, all service licenses end immediately, though Clients retain ownership of fully paid Works.

8. Limitation of Liability

To the maximum extent permitted by law:

• Agentic Vibe is not liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the total amount paid by the Client for the disputed Service.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Kenya, with additional compliance under international privacy and commerce frameworks. Disputes shall be resolved through confidential arbitration in Nairobi, Kenya, unless mutually agreed otherwise.
